These Vendor Terms & Conditions (“Vendor Terms”) govern the registration, approval, access to, and use of the Pangaea Marketplace and Experiences platform by businesses, activity providers, experience operators, guides, service providers, and other commercial partners (“Vendor”, “you”, or “your”).
These Vendor Terms form a binding agreement between you and [Pangaea Legal Entity Name] (“Pangaea”, “we”, “us”, or “our”).
By creating a Vendor account, submitting a Vendor application, submitting an Experience for approval, accepting a booking, or otherwise using the Pangaea Vendor platform, you confirm that you have read, understood, and agreed to these Vendor Terms.
If you are accepting these Vendor Terms on behalf of a company or other legal entity, you confirm that you have the authority to bind that entity to these Vendor Terms.
Pangaea operates a marketplace through which approved Vendors may create, manage, and offer Experiences to customers through the Pangaea platform.
An “Experience” may include, without limitation, an activity, attraction, tour, workshop, event, adventure, outdoor activity, cultural activity, wellness activity, recreational activity, educational activity, private activity, or other bookable service accepted by Pangaea.
Pangaea provides the technology, marketplace, booking, customer-facing, administrative, payment-related, review, reporting, and Vendor management infrastructure used to facilitate these Experiences.
Unless expressly agreed otherwise in writing, the Vendor remains the actual provider and operator of each Experience submitted under its account and is responsible for delivering the Experience to the customer.
To apply as a Vendor, you must:
Pangaea may establish additional eligibility requirements for particular Experience categories.
When applying to become a Vendor, you may be required to provide information including:
You warrant that all information and documentation submitted to Pangaea is genuine, valid, accurate, complete, current, and not misleading.
Pangaea may verify any submitted information and may request additional documentation or clarification at any time.
You must promptly update your Vendor account if any registration, licence, insurance policy, bank information, ownership information, tax information, contact information, certification, or other material information changes.
A Vendor application may be assigned statuses including:
Pending – your application has been received.
Under Review – Pangaea is reviewing your information or documentation.
Documents Required – additional or replacement documentation is required.
Approved – your Vendor account has been approved.
Rejected – your application has not been approved.
Suspended – your Vendor privileges have been temporarily or indefinitely restricted.
Submission of an application does not guarantee acceptance onto the Pangaea Marketplace.
Pangaea may approve, reject, request changes to, suspend, or reconsider a Vendor application at its reasonable discretion.
Approved Vendors receive access to a dedicated Vendor dashboard.
Your Vendor account is personal to your business and may not be transferred, sold, rented, shared with another business, or used to operate Experiences belonging to an unauthorised third party without Pangaea’s prior approval.
You are responsible for:
Pangaea may suspend access where account security, identity, ownership, fraud, misuse, or unauthorised access is suspected.
Through the Vendor dashboard, an approved Vendor may be permitted to:
Access is restricted to the Vendor’s own authorised Experiences, bookings, customers, performance information, and financial information.
A Vendor may not attempt to access another Vendor’s data, bookings, customer information, Experiences, financial information, administration functions, or restricted systems.
When submitting an Experience, you must provide complete and accurate information, which may include:
You are responsible for ensuring that the published Experience accurately represents what the customer will receive.
You must not provide false, misleading, exaggerated, incomplete, outdated, or deceptive Experience information.
Vendor-created Experiences do not automatically become publicly available.
Each submitted Experience may pass through an approval workflow including:
Draft → Submitted → Under Review → Changes Requested → Approved → Published
An Experience may also be:
Pangaea retains final authority over whether an Experience may appear on the Marketplace.
Pangaea may review, approve, reject, request changes to, edit, suspend, archive, unpublish, feature, or otherwise manage an Experience where necessary for customer experience, compliance, quality, safety, platform consistency, commercial requirements, or marketplace integrity.
Approval of an Experience does not permanently guarantee publication.
You must ensure that all published Experience information remains accurate.
Material changes may require renewed Pangaea approval before becoming publicly visible.
This may include changes relating to:
You must not materially change an already-booked Experience in a manner that disadvantages a customer without notifying Pangaea.
Where an approved Experience can no longer be provided as advertised, you must immediately notify Pangaea.
You are responsible for proposing accurate prices for your Experiences unless pricing is specifically managed or agreed by Pangaea.
Prices submitted to Pangaea must:
You may not demand undisclosed mandatory payments directly from a customer after a booking has been completed through Pangaea.
Pangaea may have administrative rights to review or override prices where required under the applicable commercial arrangement, correction process, promotion, refund, customer service decision, or agreed marketplace policy.
You are responsible for keeping Experience availability accurate.
You must maintain correct:
You must not knowingly make unavailable inventory bookable.
A booking accepted through the Pangaea platform is a commitment to provide the booked Experience, subject to applicable cancellation provisions.
If availability changes and you cannot honour an existing booking, you must notify Pangaea immediately.
Repeated availability errors may affect your performance standing and may result in restrictions or suspension.
When a customer completes a valid booking for your Experience through Pangaea, the booking will appear within the Vendor system and relevant notifications may be issued.
You are responsible for reviewing your booking information and preparing to fulfil each confirmed Experience.
You must provide the booked Experience:
You must not reject, ignore, or fail to honour confirmed bookings without legitimate reason.
All communication with customers must be professional, accurate, respectful, and relevant to the booked Experience.
You may use customer information provided through Pangaea only where necessary to:
You must not use Pangaea customer information for unrelated marketing, unsolicited advertising, data resale, database building, or another commercial purpose without an appropriate lawful basis and, where required, customer consent.
Where a customer was introduced to you through Pangaea, you must not intentionally use the platform primarily to avoid applicable Pangaea commissions or booking processes.
You must not:
This does not prevent legitimate direct business relationships that arose independently of Pangaea.
You agree to provide every Experience professionally and with reasonable skill, care, safety, punctuality, and customer service.
You must:
Repeated service failures may affect your Vendor status.
Safety is a fundamental requirement of participation in the Pangaea Marketplace.
You are responsible for assessing and managing the risks associated with your Experience.
Depending on the type of Experience, you may be required to maintain:
You must immediately inform Pangaea of any serious accident, injury, safety incident, regulatory investigation, or material safety concern relating to an Experience offered through Pangaea.
Pangaea may immediately suspend an Experience where it reasonably believes customer safety may be at risk.
You are solely responsible for obtaining and maintaining all licences, registrations, approvals, permits, certifications, permissions, and insurance legally required to operate your business and Experiences.
You must not publish or operate an Experience for which a required permit, licence, approval, insurance policy, or professional qualification has expired, been revoked, or is otherwise invalid.
Pangaea may request updated compliance documentation at any time.
Failure to provide required documentation may result in an Experience or Vendor account being placed on hold or suspended.
You are responsible for all employees, guides, instructors, representatives, subcontractors, venues, transport providers, equipment providers, and other parties used to deliver your Experiences.
Using a subcontractor does not remove your responsibility to Pangaea or the customer.
You must ensure that all persons involved in delivering an Experience:
Each Experience must have a cancellation policy approved or accepted through the Pangaea system.
Cancellation rules may differ between Experiences.
For example, a policy may provide different refund levels according to how long before the Experience the customer cancels.
The cancellation policy shown to the customer at the time of booking will normally apply to that booking.
Pangaea retains administrative authority to override a cancellation or refund rule where reasonably necessary, including in cases involving:
Vendor cancellations should occur only where genuinely necessary.
If you need to cancel or materially change a confirmed Experience, you must notify Pangaea immediately and provide the reason.
Pangaea may:
Frequent, last-minute, avoidable, or unexplained Vendor cancellations may negatively affect your Marketplace standing.
Customer cancellations will be managed according to the cancellation policy applicable to the booking, subject to Pangaea’s administrative rights.
Where a customer does not attend an Experience, the applicable cancellation or no-show terms may apply.
You must accurately report attendance, no-shows, completed Experiences, and cancellations where the platform requires such information.
False reporting of customer attendance or cancellation status is prohibited.
Refund decisions may depend on:
Where a refund is attributable to Vendor action, service failure, incorrect availability, misleading Experience information, or another Vendor responsibility, Pangaea may deduct or recover the applicable amount from current or future Vendor earnings or payouts where permitted by the applicable commercial arrangement and law.
Pangaea may charge a commission on bookings facilitated through the Marketplace.
Commission may be established as:
The applicable financial split will be established according to the commercial terms configured or agreed for the Vendor or Experience.
The financial split applicable to a booking is recorded at the time of sale.
The commission example displayed within product specifications or demonstrations does not necessarily represent the commission applicable to every Vendor.
Your actual commission arrangement will be the amount or percentage agreed with or configured by Pangaea for your account or Experience.
Vendor earnings generally represent the booking amount attributable to the Vendor after applicable:
The Vendor dashboard may display:
Payouts may progress through statuses including:
Payout eligibility, timing, banking requirements, minimum payout thresholds, settlement periods, and payment methods may be specified separately in the Vendor’s commercial arrangement or Marketplace payout policy.
You are responsible for providing accurate bank and beneficiary details.
Pangaea is not responsible for payment delays resulting from incorrect or outdated banking information supplied by the Vendor.
Pangaea may place a payout on hold where reasonably necessary to investigate:
You are responsible for understanding and meeting the tax obligations applicable to your business, Experiences, earnings, invoices, and payouts.
You must provide accurate tax information when requested.
Unless otherwise expressly agreed in writing, Pangaea does not assume responsibility for taxes that the Vendor is legally required to declare, collect, report, or pay.
Pangaea may issue or request invoices, tax documentation, or transaction records as required by the applicable commercial structure or law.
After completion of an Experience, Pangaea may invite customers to submit separate ratings for:
Reviews may include:
Experience and Vendor ratings are intentionally maintained separately because the quality of an Experience and the quality of Vendor operations may differ.
Pangaea may moderate reviews before publication.
Pangaea may classify ratings into performance bands.
The current system may include:
Excellent — 4.5 to 5.0
Indicates strong performance and may contribute to eligibility for featured placement.
Needs Attention — 3.5 to 4.4
Acts as an early-warning indicator and may trigger internal monitoring.
Critical — 0 to 3.4
Indicates serious performance concerns and may trigger direct operational intervention.
Pangaea may update rating thresholds, scoring methodologies, or performance criteria as the Marketplace develops.
Performance ratings form only part of Pangaea’s assessment and do not prevent Pangaea from acting on serious issues regardless of the numerical score.
A critical review or serious complaint may trigger:
An unresolved serious issue may result in suspension at any time.
Repeated lower-level warnings may also be escalated where they indicate an ongoing pattern.
You must not manipulate Pangaea’s review or rating system.
Prohibited conduct includes:
Pangaea may remove fraudulent or abusive review activity and take action against accounts involved in review manipulation.
Pangaea may evaluate Vendor performance using information including:
These metrics may be used for internal quality control, ranking, Marketplace visibility, Vendor support, featured placement, investigation, suspension, or other Marketplace management purposes.
Strong performance may make an Experience or Vendor eligible for increased Marketplace exposure or featured placement.
Featured placement is not guaranteed.
Pangaea may determine, modify, rotate, remove, or discontinue featured placement according to quality, ratings, commercial strategy, availability, customer relevance, performance, and other Marketplace factors.
No Vendor acquires a permanent right to a particular ranking, search position, category position, homepage placement, or level of visibility.
To operate the Marketplace safely and effectively, authorised Pangaea administrators may have authority to:
Pangaea will exercise these rights in connection with administration of the Marketplace.
You may not use Pangaea to offer, advertise, arrange, or conduct an Experience that:
Pangaea may remove or suspend prohibited content or Experiences immediately.
You retain ownership of intellectual property that you lawfully own and submit to Pangaea, subject to the licence below.
You grant Pangaea a non-exclusive, worldwide, royalty-free licence, for the period in which you participate in the Marketplace and for a reasonable archival period afterward, to use, reproduce, resize, crop, translate, format, publish, distribute, display, and promote the Vendor materials you provide for purposes connected with:
You confirm that you have all rights and permissions required to provide such materials.
The Pangaea name, brand, logo, platform, software, Vendor dashboard, design, marketplace structure, content created by Pangaea, and associated intellectual property belong to Pangaea or its licensors.
Your participation in the Marketplace does not transfer ownership of Pangaea intellectual property to you.
You may use Pangaea branding only as authorised by Pangaea and must stop using it when requested.
Customer information made available to you remains subject to applicable privacy and data-protection requirements.
You must:
Pangaea may restrict Vendor access to customer information according to operational need.
During your relationship with Pangaea, you may receive confidential commercial or operational information.
Confidential information may include:
You must not disclose confidential information except where required for legitimate performance of your obligations or by law.
You must not:
Suspected security abuse may result in immediate account suspension.
Pangaea may maintain audit records relating to Marketplace actions including:
You agree to cooperate with reasonable investigations concerning bookings, customer complaints, financial transactions, safety incidents, compliance matters, or suspected misuse of the Marketplace.
If Pangaea receives a complaint relating to your Experience, you agree to cooperate reasonably and provide information requested to investigate the matter.
This may include:
You must not retaliate against a customer for submitting a legitimate complaint or review.
Pangaea may temporarily or permanently suspend an Experience where reasonably necessary, including for:
Suspension may occur before completion of an investigation where immediate action is reasonably necessary.
Pangaea may restrict or suspend a Vendor account where the Vendor:
Depending on the circumstances, suspension may affect some or all Experiences associated with the Vendor.
Where appropriate, Pangaea may allow a Vendor to resolve an issue before further action is taken.
Corrective action may include:
Successful correction may allow a Vendor or Experience to return to good standing.
You may request closure of your Vendor account by contacting Pangaea through the designated support channel.
Account closure does not automatically cancel:
Pangaea may keep the account operational to the extent required to complete outstanding transactions or satisfy legal obligations.
Pangaea may terminate a Vendor’s participation in the Marketplace where:
Where appropriate, Pangaea may provide notice and an opportunity to remedy the issue before termination.
Serious safety, fraud, legal, or security matters may justify immediate action.
Suspension or termination does not automatically remove obligations relating to bookings already accepted.
Pangaea may determine how existing bookings will be handled, including:
The Vendor must cooperate with Pangaea to minimise disruption to affected customers.
Unless a separate written agreement expressly states otherwise, the Vendor participates in the Marketplace as an independent business.
Nothing in these Vendor Terms creates an employment relationship, agency, partnership, franchise, joint venture, or fiduciary relationship between Pangaea and the Vendor.
The Vendor is responsible for its own personnel, operations, business costs, licensing, taxation, insurance, equipment, and service delivery.
You are responsible for the acts and omissions of:
You remain responsible even where a third party performs part of the Experience.
Pangaea facilitates discovery, administration, booking, customer communication, Marketplace management, payment-related processes, quality monitoring, and related services.
Except where Pangaea itself expressly provides a specific service, Pangaea does not become the operator of a Vendor’s Experience simply because the Experience is displayed, booked, paid for, reviewed, or administered through the Marketplace.
The Vendor remains responsible for providing the Experience.
Pangaea does not guarantee:
Marketplace demand may vary by season, location, pricing, availability, customer preferences, competition, ratings, and other factors.
Pangaea may update, modify, maintain, suspend, or change parts of the Marketplace or Vendor dashboard.
Temporary interruptions may occur due to:
Pangaea will use reasonable efforts to maintain the Marketplace but does not guarantee uninterrupted availability.
To the maximum extent permitted by applicable law, neither party will be liable to the other for indirect, incidental, special, or consequential losses arising from these Vendor Terms except where such limitation is prohibited by law.
Nothing in these Vendor Terms excludes or limits liability that cannot lawfully be excluded or limited.
The final limitation-of-liability framework applicable to your Vendor relationship may also be governed by a separate Vendor commercial agreement.
To the extent permitted by applicable law, you agree to indemnify and hold Pangaea and its officers, employees, and representatives harmless against third-party claims, damages, liabilities, penalties, losses, and reasonable costs resulting from:
This provision does not apply to the extent the relevant loss was caused by Pangaea’s own unlawful conduct or liability that cannot legally be excluded.
Pangaea may require Vendors to maintain insurance appropriate to the nature and risk profile of their Experiences.
Required insurance may include, where applicable:
You must provide proof of coverage when requested and notify Pangaea if required coverage expires, is cancelled, or materially changes.
Neither party will be responsible for failure to perform obligations where performance is prevented by circumstances beyond its reasonable control, subject to applicable law.
Such circumstances may include severe weather, natural disasters, government restrictions, civil emergencies, epidemics, transportation shutdowns, or other extraordinary events.
The affected party must take reasonable steps to notify the other party and minimise disruption.
Customer refunds or booking arrangements resulting from such circumstances may be determined according to the applicable Experience policy, customer rights, Pangaea procedures, and applicable law.
Pangaea may send Vendor communications including:
Communications may be delivered through the Vendor dashboard, email, or other communication channels supported by Pangaea.
You are responsible for maintaining accurate contact information and monitoring communications relating to your account.
Pangaea may amend these Vendor Terms from time to time to reflect:
Where required, Pangaea will notify Vendors of material updates.
Continued use of the Marketplace after updated Terms take effect constitutes acceptance where permitted by applicable law.
Where separate acceptance is legally or operationally required, Pangaea may require you to accept the updated Terms before continuing to use Vendor services.
Your participation may also be subject to additional policies presented by Pangaea, including where applicable:
Where an additional signed Vendor agreement contains commercial terms that conflict with these Vendor Terms, the signed Vendor agreement will prevail for the conflicting commercial matter unless otherwise stated.
If any provision of these Vendor Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.
A failure or delay by Pangaea to enforce any provision of these Vendor Terms does not waive the right to enforce that provision or another provision later.
You may not assign or transfer your rights or obligations under these Vendor Terms to another person or business without Pangaea’s prior written approval.
Pangaea may assign its rights and obligations in connection with a restructuring, merger, acquisition, transfer of business, or other legitimate corporate transaction, subject to applicable law.
These Vendor Terms shall be governed by the laws of [Kingdom of Saudi Arabia / Applicable Jurisdiction], without prejudice to mandatory rights or rules that apply under applicable law.
The parties should first attempt in good faith to resolve any dispute through direct communication.
If a dispute cannot be resolved amicably, it shall be submitted to [competent courts / agreed arbitration mechanism] in [City, Kingdom of Saudi Arabia], subject to the final legal structure adopted by Pangaea and any mandatory applicable law.
